3. Client Responsibilities

Clients are responsible for:

Reviewing and approving project materials

Providing required content and access in a timely manner

Ensuring all submitted materials are accurate and lawful

Maintaining ownership or proper licensing for images, logos, videos, written content, trademarks, and other materials provided to us

Complying with all applicable laws, industry rules, advertising rules, privacy laws, and communication consent requirements

Maintaining their own business licenses, insurance, legal notices, and professional compliance obligations

Delays in providing requested information, approvals, access, or feedback may delay project completion.

4. Website and Digital Service Disclaimer

We make reasonable efforts to create professional, functional, and effective websites and digital systems. However, we do not guarantee specific business results, traffic, leads, sales, rankings, appointments, reviews, or revenue.

Website performance may depend on many factors outside our control, including market demand, client offer quality, competition, advertising budget, customer service, pricing, reputation, search algorithms, third-party platforms, and client follow-up.

5. Google Reviews and Reputation Services

Thrive Trinity Agency may help clients set up systems to request reviews from customers. We do not guarantee that customers will leave reviews, that reviews will be positive, or that any review platform will publish, remove, or display a review.

Clients agree not to use our services to request fake reviews, incentivize reviews in a way that violates platform rules, suppress honest feedback unlawfully, impersonate customers, or engage in deceptive reputation practices.

Clients are responsible for complying with Google’s policies, FTC guidance, and any applicable consumer protection laws regarding reviews, testimonials, endorsements, and advertising claims.

6. Call Automation Services

Thrive Trinity Agency may help clients implement call automation, missed-call follow-up, voicemail systems, appointment workflows, or related communication tools.

Call automation services may rely on third-party providers, including phone carriers, CRM platforms, scheduling platforms, SMS providers, voice technology providers, and other software tools. We are not responsible for outages, errors, delays, service interruptions, message filtering, carrier restrictions, or platform limitations caused by third-party providers.

Clients are responsible for reviewing automated scripts, call flows, messages, and customer communications to ensure they are accurate, appropriate, lawful, and suitable for their business.

7. SMS/Text Messaging Terms

Thrive Trinity Agency may send SMS or text messages to individuals who opt in to receive communications from us. These messages may include consultation confirmations, appointment reminders, service updates, support messages, follow-up messages, review requests, and promotional messages where permitted.

By providing your mobile number and opting in, you agree to receive text messages from Thrive Trinity Agency.

Message frequency may vary. Message and data rates may apply.

Clients may not use our services to send unlawful, unwanted, misleading, abusive, fraudulent, or non-consensual messages.

9. Prohibited Messaging Content

You may not use Thrive Trinity Agency’s services, systems, or recommendations to send messages that are unlawful, deceptive, harassing, abusive, discriminatory, fraudulent, or otherwise inappropriate.

Prohibited content may include, but is not limited to:

Spam or unsolicited marketing

Misleading claims

Fraudulent offers

10. Payments and Fees

Fees for services will be stated in a proposal, invoice, order form, agreement, or checkout page.

Payment terms may include setup fees, monthly service fees, project fees, software fees, subscription fees, maintenance fees, consulting fees, or other charges.

Unless otherwise stated in writing:

Payments are due according to the invoice or agreement terms

Work may not begin until required payment is received

Late payments may delay or pause services

Monthly services may renew automatically until canceled according to the applicable agreement

Client is responsible for third-party software, hosting, domain, advertising, or platform fees unless otherwise stated

11. Refund Policy

Because Thrive Trinity Agency provides digital, creative, consulting, setup, and service-based work, fees are generally non-refundable once work has begun, unless otherwise stated in writing.

Refund eligibility, if any, will depend on the specific service agreement, invoice, or written terms provided at the time of purchase.

No refunds are provided for completed work, strategy sessions, consultations, setup services, digital products, third-party software fees, domain fees, hosting fees, advertising spend, or services already delivered.

12. Cancellations

Clients may cancel ongoing monthly services according to the cancellation terms in their service agreement or written plan.

Canceling services may result in loss of access to certain systems, automations, reports, hosting, subscriptions, CRM workflows, or third-party tools, depending on how the service was set up.

Clients remain responsible for any outstanding balances due at the time of cancellation.

13. Project Timelines

Estimated timelines are provided for planning purposes only. Project timelines may change based on client responsiveness, revisions, technical issues, third-party platform delays, account access, scope changes, or other factors outside our control.

We are not responsible for delays caused by the client’s failure to provide content, approvals, access, feedback, or required information.

14. Revisions and Scope of Work

Each project includes only the deliverables and revisions specifically stated in the proposal, invoice, or service agreement.

Additional work outside the agreed scope may require additional fees. This may include extra pages, new design concepts, copywriting, integrations, automation changes, technical troubleshooting, platform migration, additional meetings, or expanded marketing support.

15. Third-Party Platforms and Tools

Our services may involve third-party platforms such as website builders, hosting providers, domain registrars, Google, CRM systems, SMS providers, payment processors, scheduling tools, analytics tools, email platforms, and automation software.

We do not control third-party platforms and are not responsible for their pricing, policies, downtime, errors, limitations, account suspensions, approval decisions, changes, or data practices.

Clients are responsible for reviewing and complying with the terms and privacy policies of any third-party platforms used in connection with our services.

16. Intellectual Property

Unless otherwise stated in writing, Thrive Trinity Agency retains ownership of its pre-existing materials, templates, strategies, processes, frameworks, designs, training materials, systems, documents, and proprietary methods.

After full payment is received, clients may receive rights to use the final approved website, graphics, copy, or deliverables created specifically for their business, subject to any third-party licenses or platform restrictions.

Clients may not copy, resell, redistribute, reproduce, or claim ownership of Thrive Trinity Agency’s proprietary materials, templates, systems, or methods without written permission.

17. Client-Provided Materials

Clients represent that they own or have permission to use all materials they provide to us, including logos, images, videos, testimonials, written content, trademarks, customer lists, contact information, and business data.

Clients agree to indemnify and hold Thrive Trinity Agency harmless from claims related to materials they provide, including copyright, trademark, privacy, publicity, or intellectual property claims.

18. Portfolio Use

Unless the client requests otherwise in writing, Thrive Trinity Agency may display completed work, business names, logos, screenshots, testimonials, or project summaries in our portfolio, website, social media, proposals, or marketing materials.

We will not knowingly disclose confidential business information.

19. Confidentiality

Both parties agree to use reasonable care to protect confidential information shared during the course of services.

Confidential information may include login credentials, business strategies, customer data, internal processes, pricing, marketing plans, and non-public business information.

This obligation does not apply to information that is publicly available, already known, independently developed, or required to be disclosed by law.

Clients are responsible for consulting qualified professionals regarding legal compliance, privacy laws, SMS regulations, industry-specific rules, advertising claims, and business obligations.

22. Limitation of Liability

To the fullest extent permitted by law, Thrive Trinity Agency shall not be liable for indirect, incidental, consequential, special, punitive, or exemplary damages, including lost profits, lost revenue, lost leads, lost data, business interruption, reputation damage, or loss of goodwill.

Our total liability for any claim related to our services shall not exceed the amount paid by the client to Thrive Trinity Agency for the specific service giving rise to the claim during the three months before the claim arose.

23. Indemnification

You agree to defend, indemnify, and hold harmless Thrive Trinity Agency, its owners, team members, contractors, partners, and affiliates from any claims, damages, liabilities, losses, costs, or expenses arising from:
